IE Strategic Capital Services
IE Strategic Capital Group advises founders, owner-operators, investors, acquisition groups, and lower middle market companies when a transaction, financing decision, ownership change, or balance sheet issue carries material consequences.
The work starts with the economics of the situation. We examine cash flow, leverage, valuation, ownership objectives, timing, downside exposure, and the practical constraints surrounding the decision. The scope is then built around what the client actually needs to resolve.
Business Valuation & Exit Readiness
Assess the factors supporting enterprise value, identify issues likely to surface in diligence, and prepare for a sale, recapitalization, succession event, or ownership transition. The analysis can include earnings quality, margin profile, customer concentration, working capital, capital expenditure needs, debt, and the adjustments a buyer is likely to challenge.
M&A Advisory | Buy Side & Sell Side
Support acquisitions and exits from initial evaluation through diligence and transaction structuring. Depending on the mandate, work may include target or buyer assessment, valuation analysis, financial review, diligence priorities, purchase-price considerations, negotiation support, and examination of the risks that remain after closing.
Capital Formation & Investor Materials
Prepare companies for debt, equity, or hybrid capital discussions with financial models, use-of-proceeds analysis, investor materials, capitalization review, and an assessment of financing alternatives. The objective is to present the business and capital requirement credibly without disguising the risks sophisticated capital providers will examine themselves.
Strategic Partnerships & Joint Ventures
Evaluate partnerships, joint ventures, commercial alliances, and other strategic relationships where economics and control must be considered together. We examine contribution requirements, governance, incentives, capital commitments, operating responsibilities, exit provisions, and whether the arrangement improves the company’s position on terms worth accepting.
Debt Structuring & Capital Structure Advisory
Review leverage capacity, debt service, maturity exposure, liquidity, covenants, refinancing alternatives, and the relationship between debt and equity in the capital stack. For acquisition or recapitalization work, we test whether the proposed structure can withstand weaker operating performance rather than relying on a single base case.
Owner-Led Growth Strategy
Evaluate expansion plans against the company’s operating capacity, cash requirements, return profile, and balance sheet. This may involve acquisition pathways, new markets, margin improvement, capital spending, hiring, or other growth decisions where scale alone is not a sufficient reason to commit capital.
Succession & Transition Planning
Help founders, family-owned companies, and owner-led businesses work through leadership continuity, ownership transfer, liquidity needs, stakeholder interests, valuation, and the financial preparation required for a transition. The goal is to understand the tradeoffs before personal, family, and business considerations collide at the negotiating table.
Restructuring & Special Situations
Support businesses facing liquidity pressure, lender concerns, covenant stress, operational strain, ownership conflict, or a transaction under difficult conditions. The first task is to establish the actual cash position, obligations, decision deadlines, and available alternatives before pressure removes options.
How the Work Is Underwritten
Different mandates require different models, but the underlying discipline is consistent. We work from the financial reality of the business outward rather than forcing the situation into a standard consulting template.
Where We Are Most Useful
IE Strategic Capital is generally brought in when the decision is consequential enough that surface-level analysis is not sufficient. A founder may be deciding whether to sell now or improve the business first. An acquisition group may need to determine whether the proposed leverage is supportable. A company may have capital available but still need to decide which source creates the least damaging set of obligations.
Other engagements begin because something has changed: a lender has tightened terms, a partner wants liquidity, a buyer has appeared unexpectedly, a refinancing date is approaching, or operating performance has made the existing capital structure less comfortable than it looked when it was put in place.
Those situations require more than a presentation. They require a defensible view of the numbers, the available choices, and the consequences attached to each one.
Engagement Scope
The firm is founder-led and intentionally selective. Scope depends on the matter and can range from focused analysis of a specific transaction question to broader support through preparation, diligence, financing, and negotiation.
Clients work directly with senior decision-making rather than through unnecessary layers. When outside legal, tax, accounting, lending, or other specialized expertise is required, our analysis is designed to work alongside those professionals rather than substitute for them.
Before an engagement begins, the objective, expected work product, timing, and boundaries of the assignment should be clear. That keeps the advisory work tied to the decision instead of allowing the mandate to expand into activity that does not change the outcome.
Important note: IE Strategic Capital Group provides advisory support based on the facts and scope of each engagement. Services do not guarantee a transaction result, valuation, financing outcome, capital raise, restructuring result, or level of business performance.
Bring Us the Decision, Not the Sales Pitch
If you are evaluating an acquisition, preparing for an exit, reconsidering the capital structure, facing a refinancing or liquidity issue, or working through an ownership transition, start with the facts. We can determine from there whether the matter fits the firm.
